Any work undertaken by Techy IT Solutions Inc.—whether agreed upon orally or in writing—is governed by these Terms and Conditions. By submitting a project request or work order, the Client acknowledges and agrees to these terms.
2. Service Delivery and Modifications
- Scope of Work: A detailed scope of work will be provided in writing (e.g., as an Appendix or Change Order). Any modifications to the scope will require written confirmation by both parties.
- Design and Development: Our expert design and development team will deliver projects in accordance with industry standards and best practices. Clients are required to review and provide feedback within a specified timeframe.
- Project Completion: Once a project is completed and approved by the Client, any additional work requested may incur extra charges as outlined in separate invoices.
3. Payment Terms
- Fees: Clients agree to pay fees according to the agreed-upon schedule. This includes a minimum fee for hosting renewals, website maintenance, and any additional services (e.g., email management).
- Recurring Charges: The Client is responsible for renewing domain and hosting services. Failure to renew may result in service disruption.
- Late Payments: In case of delayed payments, we reserve the right to pursue collection efforts, which may include engaging a collection agency.
4. Ownership and Intellectual Property Rights
- Client Ownership: The Client retains ownership of all proprietary content provided for the project, including text, images, and multimedia assets.
- Contractor Rights: Techy IT Solutions Inc. retains ownership of any pre-existing code and tools used in service delivery. A perpetual, non-exclusive license is granted to the Client for the use of such components.
5. Confidentiality
We are committed to protecting the confidentiality of the Client’s information. Techy IT Solutions Inc. will not disclose any confidential information to third parties without the Client’s consent, except as required by law.
6. Liability and Disclaimers
- Disclaimer: Except as expressly provided in these Terms, Techy IT Solutions Inc. disclaims all warranties, whether express or implied, including those of merchantability and fitness for a particular purpose.
- Limitation of Liability: Neither party shall be liable for indirect, incidental, or consequential damages arising from this Agreement. The Client agrees to hold us harmless from any claims, damages, or losses related to the services provided.
- Indemnity: The Client agrees to indemnify and hold Techy IT Solutions Inc. harmless against any claims resulting from the Client’s breach of these Terms or the use of third-party content provided by the Client.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta. Any disputes arising under these Terms shall be resolved in a court of competent jurisdiction in Alberta.
8. Changes to These Terms
Techy IT Solutions Inc. reserves the right to modify these Terms and Conditions at any time. Updates will be posted on our website with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
